These Terms of Service ("Terms") govern your access to and use of the website and services provided by Dezignr Co LLC, an Arizona limited liability company ("Dezignr Co," "Company," "we," "us," or "our"). By accessing our website or purchasing/using any services, you agree to these Terms.
We provide website design, development, deployment, hosting, and related digital services ("Services"). Specific deliverables, pricing, and timelines may be described in a separate written agreement, proposal, or order form. If there is a conflict, the signed client agreement controls.
(a) Build Fee. If you purchase a website build, you agree to pay the one-time build fee as quoted. Unless otherwise stated in writing, the build fee is non-refundable once work begins.
(b) Subscription Services. Hosting/maintenance services (if purchased) are billed on a recurring basis (monthly or annually, unless otherwise stated). Subscriptions renew automatically until canceled.
(c) Payment Processor. We may use a third-party payment processor (e.g., Stripe). You authorize us (or our processor) to charge your payment method for recurring fees and applicable taxes.
(d) Failed Payments. If a payment fails or is reversed, we may suspend Services until payment is successfully collected.
If your subscription is canceled or payment fails, hosting and ongoing services may stop and the website may be taken offline. If you cancel, you are responsible for any fees accrued through the end of your paid billing period. We do not provide refunds for partial billing periods unless required by law.
You are responsible for all content you provide or request to be placed on your website (text, images, logos, videos, claims, offers, and links) and represent that you have the rights to use it. You are responsible for ensuring your content complies with all laws and regulations applicable to your business (including advertising, licensing, consumer protection, HIPAA/health claims if applicable, etc.).
You agree not to use our Services to:
We may suspend or terminate Services if we reasonably believe your use violates these Terms or creates risk to our systems, other customers, or third parties.
(a) Our IP. Our tools, systems, templates, processes, and pre-existing materials remain our property.
(b) Your Content. You retain rights to your content that you provide, subject to your agreements with us and third parties.
(c) License. During an active subscription (if applicable), we grant you a limited, non-exclusive, non-transferable license to access and use the website as deployed by us.
Your site may rely on third-party products or services (domain registrars, DNS providers, analytics, payment processors, email providers, plugins, etc.). We are not responsible for outages or failures caused by third parties.
The Services are provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee search rankings, traffic, leads, sales, or business results.
To the maximum extent permitted by law, Dezignr Co will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, business interruption, or loss of data. Our total liability for any claim will not exceed the amount you paid to us in the three (3) months before the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless Dezignr Co from claims arising from: (a) your content; (b) your business operations; or (c) your use of the Services in violation of these Terms.
We may update these Terms from time to time. The "Effective Date" above will indicate the latest version. Continued use of the website or Services after updates constitutes acceptance.
These Terms are governed by the laws of the State of Arizona, without regard to conflict of laws principles. Any dispute shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona.
